1. About these terms

These Terms of Service ("Terms") govern your use of OutlayHQ (the "Service"), provided by [Registered business name] (ABN [ABN]) ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is (and is not)

OutlayHQ is educational staking & bankroll-management calculator software. It provides calculators and tools to help you size and manage stakes from a bankroll you control.

• The Service does NOT place bets, accept or hold betting funds, or operate any form of gambling.
• The Service does NOT provide betting tips, selections, or guarantees of winnings or profit.
• All selections, decisions and bets are entirely your own, made with third parties we are not responsible for.
• Outputs are mathematical calculations based on the figures you enter; they are not financial or betting advice.

3. Eligibility

You must be at least 18 years old and legally permitted to use staking/gambling-related software in your jurisdiction. By using the Service you confirm that you meet these requirements.

4. Your account

• You are responsible for keeping your login secure and for activity under your account.
• Provide accurate information and keep it up to date.
• Tell us promptly at support@outlayhq.com.au if you suspect unauthorised use.

5. Subscriptions and billing

The Service offers a free tier and a paid "Pro" subscription. Paid subscriptions are billed in advance through our payment processor on a recurring basis until cancelled.

• By subscribing you authorise the recurring charge for each billing period until you cancel.
• You can cancel at any time from your account; access continues until the end of the current paid period.
• We may change pricing with reasonable notice; changes do not affect the period you have already paid for.

6. Acceptable use

• Do not misuse, disrupt, or attempt to gain unauthorised access to the Service.
• Do not copy, reverse-engineer, decompile, scrape, or attempt to extract the underlying methods, formulas or source of the Service.
• Do not resell or redistribute the Service or present it as your own.
• Do not use the Service for unlawful purposes or in breach of any third party’s rules or terms.

7. Intellectual property

The Service, including its software, calculators, underlying methods and formulas, design and content, is owned by us or our licensors and is protected by law. You receive a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own use, subject to these Terms.

8. No guarantee — gambling risk

A staking plan changes how much you stake, not whether a bet wins. No tool can overcome the inherent house edge in gambling. The Service does not guarantee any outcome, return, or profit, and past results do not indicate future results.

Gambling involves real financial risk. You are solely responsible for your bets and any losses. Only ever stake money you can afford to lose. See our Responsible Gambling page for support resources.

9. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind. Nothing in these Terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded.

To the extent permitted by law, we are not liable for any indirect or consequential loss, or for any gambling losses, arising from your use of the Service. Where liability cannot be excluded, it is limited to resupplying the Service or paying the cost of resupply.

10. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or other users.

11. Changes to these terms

We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of its courts.
